Backpack Terms of Service
These terms are the agreement between you and us about using Backpack. Read section 4 before you pay for anything. It describes a real risk to your Skool account, and if you are not willing to accept that risk you should not use Backpack.
Backpack is operated by Havstock FZ-LLC ("we", "us", "our"), a free zone company registered in the Al Hamra Industrial Zone-FZ, Ras Al Khaimah, United Arab Emirates, with its registered office at:
FDBC1705 Compass Building
Al Shohada Road
Al Hamra Industrial Zone-FZ
Ras Al Khaimah
United Arab Emirates
We are contactable at support@havstock.com. "You" means the person or business using Backpack.
By installing Backpack, creating an account, or paying for a subscription, you agree to these terms. If you do not agree, do not install it and do not pay.
The short version. Backpack is a $9 per month Chrome extension for Skool community owners, covering every Skool community you are an admin of. Payment is taken by Skool, not by us. Backpack works by using Skool's private endpoints, which is against Skool's written platform policy. Skool could suspend or terminate your account for using it and we cannot stop that or undo it. To send messages while your browser is closed, Backpack stores your Skool session, encrypted, on our servers, and you have to authorise that. Do not use Backpack for cold outreach or bulk messaging. Our liability is capped at what you paid us in the last 12 months, which today is at most $108.
1. What Backpack is
Backpack is a Chrome extension and hosted service for people who own a Skool community. It gives you one panel on top of skool.com for managing your own members: seeing them in one list, organising them with tags and pipelines, running short follow-up message sequences for things your members do, such as joining, a payment failing, or cancelling, scheduling posts to your community, and, if you choose, connecting your own AI assistant to your Backpack data through MCP.
Backpack itself ships no artificial intelligence. There is no language model inside Backpack, no drafting and no generated copy. You write your message templates. Backpack substitutes the placeholders and sends what you wrote. If you connect your own AI assistant through MCP (section 5), that assistant is yours, provided by a third party you chose, and what it writes or does falls under section 6.
2. We are not Skool
Backpack is not affiliated with, endorsed by, sponsored by, partnered with, or approved by Skool.com or its operators. We are an independent third party. "Skool" is used only to describe what Backpack works with. We have no agreement of any kind with Skool, no access to any official Skool programme, and no ability to speak to Skool on your behalf.
Skool is not a party to these terms and owes you nothing under them. Your relationship with Skool is governed entirely by Skool's own terms, which you have agreed to separately and which you remain responsible for.
3. Eligibility and your account
- You must be at least 18 years old and able to enter a binding contract.
- You must own, or be authorised by the owner to administer, each Skool community you switch on. Backpack is for communities you run. Do not switch on a community you are merely a member of.
- You are responsible for everything that happens under your account, including anything done by team members you invite.
- Backpack has no passwords. You sign in with a six digit code sent to your email address. Keep access to that email address secure. Anyone who can read your email can sign in as you.
- You must give us accurate information, including a working email address.
Every community you run, one plan
One Backpack subscription covers every Skool community you are an admin of. You connect Skool once, then switch each community on from its page in Skool. There is no limit on how many members a community has, and no limit on how many team members you invite to your Backpack account.
4. The risk to your Skool account. Read this.
Skool does not offer a public API, and Backpack works by using Skool's private, undocumented endpoints and your own Skool session. Skool's written platform policy prohibits scraping and automation requests. Using Backpack is therefore contrary to Skool's terms.
That is not a technicality and we are not going to dress it up. Every tool in this category works the same way, and Skool has so far not enforced against owner-scoped tools of this kind. But "so far not enforced" is not permission, and it is not a guarantee about tomorrow.
By using Backpack you acknowledge and accept all of the following:
- Skool may suspend, restrict, ban or permanently terminate your Skool account, your community, or both, at any time, for using Backpack or any similar tool.
- If that happens you could lose your community, your members, your content, your Skool revenue and your access to all of it. That loss could be permanent.
- We cannot prevent it, cannot appeal it, cannot reverse it, and cannot compensate you for it. We have no relationship with Skool and no standing to intervene.
- Skool may change or remove its private endpoints at any time and without notice, which can break Backpack partly or completely, permanently.
- You have read Skool's terms and platform policy yourself and are making your own decision. We are not advising you that using Backpack is permitted, because it is not.
- You accept this risk knowingly, in exchange for the benefit you get from Backpack, and you agree that this risk is yours and not ours.
If you are not willing to accept the possible loss of your Skool community, do not use Backpack.
5. Your authorisation for Backpack to act on your behalf
This section is the permission you are giving us. It matters, so it is spelled out rather than buried.
What you are authorising
So that Backpack can send follow-up messages, publish your scheduled posts and keep your member data current while your browser is closed, you authorise us to:
- Store your Skool session credential for each community you switch on, on our servers.
- Use that credential to act as you inside Skool, limited to: reading the member list and member payment state of each community you switched on, sending direct messages to members of that community as part of the sequences switched on in your account (payment and cancellation sequences start switched on with our starter wording, which you can edit or switch off), and publishing posts in that community that you, or an AI assistant you connected, have scheduled.
You confirm that you have the authority to grant this, and that granting it does not breach any obligation you owe to anyone other than Skool. Your obligations to Skool are covered by section 4, which you have accepted.
How it is held
- The credential is encrypted at rest. The encryption key is held separately from the database, so a copy of the database on its own is not enough to read it.
- It is readable only by the server processes that act for you. No human on our side reads it as a matter of course, and we access it manually only where it is strictly necessary to fix a fault you have reported or to comply with a legal obligation.
- It is never shared, sold, transferred, or used for any other community, customer or purpose.
What it will not be used for
- Not to read, join or act in any Skool community you have not switched on.
- Not to change your Skool account settings, your pricing, your billing, your community settings, or your content.
- Not to post anything that has not been scheduled through Backpack, and not to comment, like, or engage on your behalf.
- Not to message anyone who is not a member of a community you switched on.
- Not to send any message you have not written and enabled.
- Not for any purpose of ours, including analytics, training, marketing or research.
Connecting an AI assistant (MCP)
You can connect your own AI assistant, such as Claude or ChatGPT, to your Backpack account. When you do, you authorise that assistant to read your Backpack data and to make the changes MCP allows: adding tags, moving members between pipeline stages, and creating, changing or cancelling scheduled posts. It cannot send direct messages, delete tags or pipelines, or change your message sequences, and it never receives your Skool session.
A post your assistant schedules is published from your Skool account like any other scheduled post. It shows in the Scheduler, and you can edit or cancel it until it goes out. What your assistant writes or does is your responsibility, the same as if you had done it yourself.
The assistant is provided by a third party under your own agreement with them. We do not control it and are not responsible for what it does with the data you let it read. You can disconnect it at any time in Backpack or by emailing support@havstock.com.
Revoking it
You can revoke this authorisation at any time by disconnecting Skool in Backpack, or by emailing support@havstock.com. On revocation we delete the stored credential. Once it is gone, anything that depends on it stops working, including sequences that were mid-run and posts that were still scheduled. Changing your Skool password or signing out of Skool everywhere will also invalidate the stored session, and Backpack's sends will fail until you reconnect.
A stored session can expire or be invalidated by Skool at any time. When that happens, sends and reads fail. We will surface the failure to you rather than hide it, but a message that did not send did not send, and we are not liable for what that costs you.
6. Acceptable use
These are hard rules. Breaking them ends your access.
- Every message sequence must be triggered by something the member did. Joining, a payment failing, cancelling. That is the whole permitted set of triggers.
- No cold outreach. Do not message people who are not members of a community you switched on.
- No bulk blasts. Backpack is not a broadcast tool. Do not use it to message an arbitrary list or segment.
- No spam. No deceptive, misleading, harassing, threatening, hateful, sexually explicit or unlawful content. No pyramid schemes, no fake scarcity, no impersonation.
- No uploaded lists. Do not import contacts from anywhere else and message them through Backpack.
- No engagement manipulation. No automated liking, commenting, following or any other artificial engagement.
- Posts go to your own community only. Scheduled posts, whether you write them or your AI assistant does, are published only in a community you switched on, and the content rules above apply to them the same as to messages.
- No reselling or reverse engineering. Do not resell, sublicense, white-label or redistribute Backpack, and do not decompile it or use it to build a competing product.
- No sharing credentials. Invite team members properly. Do not share a sign-in.
- No circumventing limits. Do not work around the message caps, the send pacing, the daily post limit or any other control in the product.
You are responsible for the messages and posts
Messages and posts sent through Backpack are sent from your Skool account and are your messages and posts. You write them, or have your AI assistant write them, you enable them, and you own them.
You are solely responsible for the content of every message and post and for complying with all laws that apply to it, including the anti-spam, electronic marketing, consumer protection and data protection laws of every jurisdiction your members are in. That includes, without limitation, laws in the United States, Canada, the United Kingdom, the European Union and Australia. Some of them require consent, an accurate sender identity, or a way to opt out. Working out which of them apply to you is your job, not ours. We do not review, approve or monitor your message content and we are not your compliance adviser.
Your members' data
For your members' personal data, you are the controller and we are your processor. You are responsible for having a lawful basis to process it and for telling your members what you do with it. We use it only to provide Backpack to you, on your instructions, as set out in our Privacy Policy, which forms part of these terms. If you connect an AI assistant, you are choosing to share your members' data with that assistant's provider, and you are responsible for having a lawful basis to do so.
7. Price, billing and cancellation
- Backpack is 9 US dollars per month. Every feature, no tiers, every Skool community you are an admin of.
- Skool takes the payment, not us. Your subscription is your paid membership of the private Skool community at skool.com/backpack. Backpack processes no payments, holds no card details of yours, and has no connection to any payment processor. Your billing relationship for that membership is with Skool and is governed by Skool's terms.
- Access to Backpack is granted because you are a paying member of that community. Backpack checks your membership status and nothing more.
- To cancel, cancel your membership of skool.com/backpack. Uninstalling the extension does not cancel anything and does not stop you being billed.
- If a payment fails, we email you and Backpack keeps working for 5 days while you fix it. If you cancel, Backpack keeps working until the end of the period you paid for. After that, Backpack pauses: scheduled posts, message sequences and any connected AI assistant stop working, and nothing is deleted. Pay again and it all works again.
- Refunds, trials and proration are handled by Skool under Skool's terms. We are not able to issue a refund for a payment we did not receive. If you believe you are owed one, take it up with Skool.
- We may change the price. If we do, we will tell existing customers by email before the change takes effect, and you can cancel before it applies to you.
What happens to your data
When your subscription ends, Backpack pauses but your data is kept, so that resubscribing picks up where you left off. Your stored Skool session credential is deleted 30 days after your subscription ends, because by then there is no reason to hold it. If you come back after that, you reconnect Skool once and everything else is still there.
If you want everything deleted, email us and ask. Everything tied to your account is deleted within 30 days. Deletion is permanent and we cannot get it back. The full detail is in the Privacy Policy.
8. Service availability
There is no uptime guarantee. Backpack is provided on a best-effort basis. There is no service level agreement, no uptime commitment, and no credit or refund for downtime.
Backpack depends on Skool, on Google Chrome, and on our infrastructure providers, none of which we control. In particular:
- Skool can change, restrict or remove the private endpoints Backpack relies on at any time, without notice. That can break some or all of Backpack, temporarily or permanently, and there may be nothing we can do about it.
- Google can change Chrome extension policy, or remove Backpack from the Chrome Web Store.
- A stored session can expire or be invalidated, and sends will fail until you reconnect.
- Messages may be delayed, sent out of order, sent more than once, or not sent at all.
We may change, suspend or discontinue any part of Backpack at any time. If we discontinue the service entirely we will give you reasonable notice by email and will not charge you beyond that point, noting that the charging is Skool's to stop and you should cancel your membership.
9. Warranty disclaimer
To the fullest extent permitted by law, Backpack is provided "as is" and "as available", with no warranties of any kind, whether express, implied or statutory. We specifically disclaim any implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.
We do not warrant that Backpack will be uninterrupted, secure, error free, accurate, or that it will continue to work with Skool. We do not warrant that using Backpack is permitted by Skool. It is not, and section 4 says so plainly.
Some jurisdictions do not allow the exclusion of certain warranties or of statutory consumer guarantees. Where that is so, those exclusions do not apply to you and this section applies only to the extent the law allows.
10. Limitation of liability
To the fullest extent permitted by law:
- We are not liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for any loss of profit, revenue, business, goodwill, members, data or anticipated savings, however caused, whether or not we were told such loss was possible.
- We are specifically not liable for any suspension, restriction, ban or termination of your Skool account or community, or for anything that follows from it, including lost revenue and lost members. That risk is yours under section 4.
- We are specifically not liable for messages that fail to send, send late, send twice, or send to the wrong member; for Skool changing or removing its endpoints; or for the acts or omissions of Skool, Google, or any infrastructure provider.
- Our total aggregate liability to you for all claims, arising from anything, is capped at the total fees you actually paid us in the 12 months immediately before the event giving rise to the claim. Backpack's fees are taken by Skool rather than by us. Where we have received nothing from you directly, the cap is the total of your Backpack subscription payments over that period, and in no case more than 108 US dollars.
This cap applies whatever the form of the claim: contract, tort, negligence, strict liability, statute or otherwise. Nothing in these terms excludes or limits liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for anything else that cannot lawfully be excluded. Some jurisdictions do not allow some of these limits; where that is so, this section applies to the maximum extent the law allows.
You acknowledge that the price of Backpack reflects this allocation of risk, and that we would not offer it at this price without it.
11. Indemnity
You will indemnify, defend and hold harmless Havstock FZ-LLC and its officers, directors, employees and contractors from and against any claim, demand, action, loss, liability, damage, penalty, fine, cost or expense (including reasonable legal fees) arising out of or relating to:
- the content of any message sent through your account, and any claim that it breached an anti-spam, marketing, consumer protection or data protection law;
- your handling of your members' personal data, and any claim brought by a member;
- your breach of these terms, including the acceptable use rules in section 6;
- your breach of Skool's terms or platform policy, or any claim by Skool relating to your use of Backpack;
- your use of Backpack in a way not permitted by these terms.
We will tell you promptly about any claim we want indemnified, and you may control the defence provided you do not settle in a way that admits fault on our part or imposes an obligation on us without our written consent.
Your indemnity obligation is not subject to the liability cap in section 10.
12. Termination
By you
Cancel your membership of skool.com/backpack at any time, for any reason. You can also stop using Backpack and ask us to delete your data at any time.
By us
We may suspend or terminate your access:
- immediately, if you breach section 6 (acceptable use), if you use Backpack unlawfully, or if your use puts our service or other customers at risk;
- if your subscription lapses, by pausing Backpack as described above, without deleting your data;
- on reasonable notice, for any other reason, including if we decide to stop offering Backpack.
On termination your right to use Backpack ends immediately, your stored Skool session credential is deleted, running sequences stop, scheduled posts are cancelled, and any connected AI assistant loses access. Sections 4, 6, 9, 10, 11, 13 and 15 survive termination.
13. Intellectual property
We own Backpack, including the extension, the service, the code, the design and the name. You get a limited, non-exclusive, non-transferable, revocable licence to use it while your subscription is current, for your own community, subject to these terms.
You own your content: your message templates, your scheduled posts, your tags, your pipelines and your member records. You grant us only the licence needed to host and process that content in order to provide Backpack to you.
14. Changes to these terms
We may update these terms. If a change is material, we will tell existing customers by email before it takes effect and update the date at the top. Continuing to use Backpack after that date means you accept the new terms. If you do not accept them, cancel.
15. Governing law and disputes
These terms are governed by the laws of the Emirate of Ras Al Khaimah and the applicable federal laws of the United Arab Emirates, without regard to conflict of law rules. The courts of Ras Al Khaimah have exclusive jurisdiction over any dispute, and both of us submit to them.
If you are a consumer, this does not deprive you of the protection of the mandatory laws of the country where you live.
Before starting formal proceedings, please email us and give us 30 days to try to sort it out.
16. General
- Entire agreement. These terms and the Privacy Policy are the whole agreement between us about Backpack, and replace anything said before.
- Severability. If any part of these terms is unenforceable, the rest still stands and that part is limited to the minimum extent needed to make it enforceable.
- No waiver. If we do not enforce something, that is not a waiver of our right to enforce it later.
- Assignment. You may not assign these terms without our written consent. We may assign them to a successor in connection with a merger, acquisition or sale of assets.
- No third party rights. Nobody other than you and us has rights under these terms.
- Notices. We send notices to the email address on your account. You send notices to Havstock FZ-LLC at support@havstock.com, or by post to FDBC1705 Compass Building, Al Shohada Road, Al Hamra Industrial Zone-FZ, Ras Al Khaimah, United Arab Emirates.
- Force majeure. Neither of us is liable for a failure caused by something outside reasonable control.
